Welcome to R&L Import & Export Inc. ("R&L," "we," "us," or "our"). These Terms & Conditions govern purchases, accounts, orders, deliveries, pickups, and use of our website and wholesale services.
By creating an account, placing an order, purchasing products, or otherwise using our website or services, you agree to these Terms & Conditions.
1. Wholesale Accounts
R&L Import & Export Inc. is a wholesale supplier serving businesses and other approved customers.
Customers may be required to create an account and receive approval before being permitted to place orders. We reserve the right to approve, deny, suspend, or close a wholesale account at our discretion, including when information provided by a customer cannot be verified.
Customers are responsible for providing accurate and current business, billing, delivery, and contact information.
2. Seller's Permit, Resale Certificates & Sales Tax
Customers purchasing merchandise for resale must provide a valid seller's permit and any properly completed resale documentation required by applicable law.
Providing a seller's permit number does not automatically make every purchase tax-exempt. The customer is responsible for providing valid documentation establishing that a transaction qualifies for resale or another applicable exemption.
If valid resale documentation is not provided, R&L may charge applicable sales tax as required by law.
Customers are responsible for the accuracy and validity of all seller's permit and resale information submitted to R&L. If a permit expires, is revoked, becomes invalid, or otherwise changes, the customer is responsible for notifying R&L and providing updated documentation.
R&L reserves the right to verify seller's permit and resale information and request additional documentation before approving an account or processing a tax-exempt transaction.
3. Pricing
All prices are subject to change without notice unless R&L has provided a written quote with a stated validity period.
Website pricing, promotional pricing, case pricing, pallet pricing, and special-order pricing may differ.
We make reasonable efforts to ensure that product descriptions and prices are accurate. However, typographical, technical, or pricing errors may occur. R&L reserves the right to correct errors and cancel or modify an affected order before fulfillment.
4. Payment
Payment is due according to the terms presented at checkout, on the invoice, or otherwise agreed to in writing by R&L.
Accepted payment methods may include credit/debit cards, ACH, check, cash, or other payment methods approved by R&L.
Credit Card Fee: Payments made by credit card may be subject to a 1.5% credit card processing fee, where permitted by applicable law and card-network requirements. Any applicable fee will be disclosed to the customer before the transaction is completed.
Any returned check, rejected ACH payment, chargeback, or other unsuccessful payment may result in additional charges to the extent permitted by law and/or suspension of the customer's purchasing privileges.
5. Orders & Order Acceptance
Submitting an order does not guarantee acceptance or availability.
All orders are subject to product availability, account approval, payment approval, and final acceptance by R&L.
We reserve the right to refuse, limit, modify, or cancel an order when reasonably necessary, including because of inventory shortages, pricing errors, suspected fraud, payment issues, supplier changes, or other operational circumstances.
6. Product Availability
Inventory levels may change without notice.
Products displayed on our website may become unavailable or out of stock before the website inventory is updated.
If an ordered product is unavailable, R&L may contact the customer to offer a substitute, backorder, partial fulfillment, account credit, refund, or other appropriate solution.
We will not substitute a materially different product without the customer's authorization.
7. Product Images & Descriptions
Product photographs and images are provided for reference. Packaging, labeling, color, design, manufacturer specifications, case packaging, and appearance may change without notice.
Customers should review product descriptions, dimensions, quantities, case counts, and specifications before purchasing.
When exact dimensions, materials, colors, brands, or specifications are important, customers should confirm those details with R&L before ordering.
8. Pickup Orders
Customers selecting warehouse pickup are responsible for picking up their orders during the applicable pickup hours or as otherwise arranged with R&L.
Customers should inspect their merchandise at pickup whenever reasonably possible.
Once merchandise has been picked up and accepted, claims involving shortages, incorrect items, or visible damage should be reported to R&L promptly.
9. Delivery
Delivery availability, minimum order requirements, delivery areas, fees, and estimated delivery times may vary.
Delivery dates and times are estimates unless expressly guaranteed in writing.
Customers are responsible for providing an accurate delivery address and ensuring that an authorized person is available to receive the order when required.
Additional delivery charges may apply for unsuccessful deliveries, incorrect addresses, redelivery requests, unusual unloading requirements, or other circumstances that create additional delivery costs.
10. Inspecting Orders
Customers should inspect orders promptly after delivery or pickup.
Claims for:
- Missing merchandise;
- Incorrect products;
- Incorrect quantities; or
- Visible damage
should be reported to R&L within 48 hours of receiving the order.
Customers should provide the invoice or order number and photographs when applicable.
Claims submitted after this period may be denied when R&L can no longer reasonably verify the condition or quantity of the merchandise at the time it was received.
11. Returns & Exchanges
Returns require approval from R&L.
Unless otherwise agreed in writing, eligible returns must be requested within 7 days of delivery or pickup.
Returned merchandise must generally be unused, unopened, in resalable condition, and in its original packaging.
For health, sanitation, food-safety, or contamination reasons, certain products may be final sale once opened or used. This may include food-contact products, disposable products, gloves, PPE, janitorial products, and similar merchandise.
Special-order, custom, clearance, discontinued, and final-sale merchandise may not be returnable.
R&L reserves the right to charge a reasonable restocking fee for eligible non-defective returns when disclosed and permitted by law.
Defective merchandise, incorrect merchandise supplied by R&L, or verified fulfillment errors will be handled separately and will not be treated as a standard customer-preference return.
12. Cancellations
Orders may be cancelled before fulfillment only with R&L's approval.
Orders that have already been processed, prepared, shipped, delivered, or specially ordered may not be eligible for cancellation.
Special orders and custom orders may become non-cancellable once R&L places the order with its supplier.
13. Chargebacks & Payment Disputes
Customers should contact R&L promptly regarding billing or order concerns so that we have an opportunity to investigate and resolve the issue.
Fraudulent or abusive chargebacks may result in suspension or termination of purchasing privileges.
Nothing in these Terms limits a customer's lawful rights to dispute unauthorized or otherwise validly disputable transactions.
14. Quotes & Special Pricing
Quotes, negotiated pricing, pallet pricing, volume discounts, and special pricing are valid only for the customer and period identified by R&L.
Unless expressly stated otherwise, quotes are subject to product availability and may change because of supplier pricing, freight costs, tariffs, taxes, or other material cost changes before an order is accepted.
15. Business Purchases
Customers are responsible for determining whether products are appropriate for their intended business use and comply with any requirements applicable to their operations.
R&L is not responsible for a customer's improper storage, handling, modification, misuse, or use of a product contrary to manufacturer instructions.
16. Website Accounts & Security
Customers are responsible for maintaining the confidentiality of their account credentials and for activity conducted through their accounts.
Please notify R&L promptly if you believe your account has been accessed or used without authorization.
Customers may not use the website for fraudulent, unlawful, abusive, or unauthorized purposes.
17. Limitation of Liability
To the fullest extent permitted by applicable law, R&L Import & Export Inc. will not be responsible for indirect, incidental, special, or consequential losses resulting from the purchase, resale, delay, shortage, or use of merchandise.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
18. Force Majeure & Supply Interruptions
R&L will not be responsible for delays or inability to fulfill an order caused by circumstances reasonably outside our control, including supplier shortages, transportation interruptions, severe weather, natural disasters, labor disruptions, governmental actions, port delays, or other similar events.
19. Fraud & Misuse
R&L reserves the right to cancel orders, hold orders for verification, request identification or business documentation, restrict purchasing privileges, or close accounts when we reasonably suspect fraud, unauthorized payment activity, misuse of resale documentation, or other unlawful activity.
20. Changes to These Terms
R&L may update these Terms & Conditions from time to time.
The version posted on our website at the time of an applicable transaction will govern that transaction unless otherwise required by law.
21. Governing Law
These Terms & Conditions are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any rights that cannot legally be waived under applicable federal, state, or local law remain unaffected.
